1.    These terms and conditions will apply to the purchase of goods by the buyer and from Jormaepourri Ltd, a company registered in England and Wales. Our premises are at:  Unit 1, Redwood House, Orchard Trading Estate, Gloucestershire, GL54 5EB. 
2.    These terms and conditions are deemed as excepted from the date, the quotation, or delivery of goods (which ever happens earlier) and will constitute the agreement between us and you. 
3.    The terms and agreement and quotations apply for the sale or purchase for goods between us and you. 
     Interpretation 
A “business day” means any  day  other than a Saturday or Sunday or bank holiday in England or Wales. 
4.    Words imparting the singular number include the plural and vice -versa.

Goods
5.    Descriptions of our goods can differ slightly. We will endure to supply as pictures however due to supply and demand on products this can alter slightly. 
6.    We can make any changes to goods which are required to conform to safety or other regulation requirements. 
Price
7.    The price of the Goods is set out from date of quotation / order.
8.    If costs of goods to us increase due to any factor out of our control, but not limited to, Labour costs, alteration to exchange rate or duties, or changes in shipping costs, we can increase price prior to shipping.
9.    Any increase in clause 8 above will only take place after discussing it with you. 
10.    The prices are exclusive of shipping / delivery costs. 
11.     Any discounts will be at our discretion.
12.    The price is exclusive of any applicable VAT and other taxes / levies which are imposed competent by authorities. 

Cancellation and alterations 
13.    Either of us can cancel for any reason prior to acceptance. 
14.    Once order accepted, cancellation by Customer can be made 2 weeks prior due for delivery. 
15.    We can investigate individual circumstances on the clause 14 above to override this at our discretion. 
16.    Alterations deemed acceptable can be made up to a few business days prior to shipping order, this will be at our discretion.
Delivery
17.    We will arrange delivery to address stated on the order.
18.    Subject to specific terms, delivery can take place any time of the day, and must be accepted between 7am - 8pm.
19.    If you cannot take delivery of goods, we will make arrangements for redelivery and will charge you the costs for this.
20.    Any dates quoted for delivery are approximate only, we will not be liable for any delay of delivery of goods that is caused by circumstances out of our control or your failure to provide adequate delivery instructions. 
21.    We can deliver the goods in instalments, which will be invoiced and paid separately. Any delay delivery or defeat in an instalment will not entitle you to cancel other instalments. 

Inspection and acceptance of goods
22.     You must inspect goods upon delivery / collection. 
23.     If you identify any damage or shortages, you must inform us in writing with 5 days, advising all details and photograph evidence where possible. 
24.    Other than by agreement we will only accept returned goods that are defective.
25.     Subject to compliance to clause 24 above and or / our agreement we will repair, replace, or refund goods or part of them. 
26.    We will be under no liability or obligation in relation if goods:
•    If you fail to provide notice set in clauses 22,23,24,25 above.
•    If defeat arises because our oral / written instructions were not followed.  
•    The defeat arises to normal wear and tear of goods. 
•    The defeat arises due to misuse, alterations, or wilful damage by you, your employees or a third party.
27.    Acceptance of the goods will be deemed to be upon inspected by you within 5 days after delivery. 

Risk and title 
28.    The risk of goods will be passed to you upon delivery
29.    Title of the goods will not pass to you until we have received payment in full.

Termination
30.    We can terminate the sale of the Goods under contract,  
•    You commit breach of these terms and conditions.
•    You are or become the subject of bankruptcy 
•    You enter voluntary or compulsory liquidation. 

Limitation of liability 
31.    If we do not deliver the goods our liability is limited subjected as in stated, the clause below, by the costs and expenses incurred by you in obtaining replacement goods.
32.    Our liability will not in any circumstances exceed the amount price payable by you. 
33.    We will not be liable in connection with goods if:
•    Any loss relating to the choice of goods.
•    Any failure to preform our obligation in any delay 

         Communications 
34.    All notices under the terms and conditions must be addressed to most recent address, email address. 

 

Circumstances beyond the control of either party
35.    Neither part shall be liable for failure or delay in performing their obligation where such failure or delay results from any cause that is beyond the reasonable control of that party. Such causes include, but are not limited to, flood, fire, storms, earthquake, acts of war or other events that are beyond their control. 
     No waiver
36.    No waiver by us of any breach of these terms and conditions by you will              be considered and as a waiver of any subsequent breach of the same or any other provision.
Severance
37.    If one or more of these Terms and Conditions is found to be unlawful, invalid, or otherwise unenforceable, that / those provisions shall be deemed served from the remainder of these Terms and Conditions (which will remain valid and enforceable)

Law and Jurisdiction  

38.    This agreement shall be governed by interpreted by according to the law of England and Wales and all disputes arising under agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the England and Wales courts.

General Product Information:
For decorative purposes only. Enhances any indoor space. Scented with Jormaepourri "Christmas in a Bottle" oil; scent longevity is extended but will naturally fade. Depending on use, product lifespan is several months to 3 years (fruit colour may change over time). Suitable for indoor or limited outdoor use during the Christmas season. Allow to dry fully for potential reuse next season. Indoors, keep away from moisture to prevent dampness.

Not suitable for consumption. DO NOT EAT. Keep away from children and animals.
